Caelia Terms of Service

Operated by SLTR Digital LLC

Effective Date: October 9, 2026 | Last Updated: October 9, 2026

IMPORTANT: PLEASE READ SECTION 25 CAREFULLY. IF YOU LIVE IN THE UNITED STATES, IT REQUIRES MOST DISPUTES BETWEEN YOU AND US TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, WAIVES YOUR RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS ACTION, AND EXPLAINS HOW YOU CAN OPT OUT WITHIN 30 DAYS.

#1. Who We Are and How These Terms Work

1.1 The agreement. These Terms of Service ("Terms") are a binding agreement between you and SLTR Digital LLC ("SLTR Digital," "Caelia," "we," "us," or "our"). SLTR Digital operates Caelia, which includes the website at caelia.io, the Caelia Studio and editor, the Caelia iPhone app, and related services (together, the "Service").

1.2 Accepting these Terms. By creating an account, buying credits, or using the Service, you agree to these Terms, to our Privacy Policy at caelia.io/privacy, and to any feature-specific rules we show you inside the Service, which form part of these Terms. If you do not agree, do not use the Service.

1.3 Using Caelia for a business. If you use the Service for a company, agency, or other organization, you accept these Terms on its behalf and confirm that you have authority to bind it. In that case "you" means both you and that organization.

1.4 Agencies and clients. If you make ads for clients, you are responsible for how your clients use the Outputs you deliver to them, and you must require your clients to follow restrictions at least as protective as Sections 7, 8, 9, 10, 11, and 16.

#2. Definitions

  • "Input" means anything you provide to the Service, including product links and the page content we read from them, text, scripts, prompts, photos, videos, audio, voice recordings, logos, music, and other materials.
  • "Output" means anything the Service generates for you, including scripts, voice tracks, talking videos, ads, Generated Scenes, storyboard frames, edited photos, and exported files.
  • "Ad" means any Output used to promote a product, service, business, brand, app, person, or cause, in any medium.
  • "Stock Actor" means an actor offered in the Caelia actor library, including actors created from recorded footage of real performers who have licensed their likeness and voice to us.
  • "Custom Actor" means a person the Service generates from a description you write.
  • "Likeness" means a person's face, image, body, voice, or any other characteristic that identifies them.
  • "Depicted Person" means any real person whose Likeness appears in an Input or Output, including you.
  • "Generated Scene" means video created from a text description or reference image using a Third-Party Model.
  • "Third-Party Model" means an AI model developed by another company that we make available in the Service, including Veo, Kling, and Seedance.
  • "Credits" means the units used to pay for rendering in the Service, as described in Section 5.
  • "Consumer" means an individual acting for purposes that are outside their trade, business, craft, or profession.

#3. Eligibility and Your Account

3.1 Age. You must be at least 18 years old, and old enough to enter a binding contract where you live, to use the Service. The Service is not directed to anyone under 18.

3.2 Who cannot use Caelia. You may not use the Service if we have previously banned you, or if you are barred from receiving services under the sanctions laws described in Section 30.

3.3 Accurate information and one account. You must give us accurate account information and keep it current. Each person may hold one account. You may not create additional accounts to collect free credits or to get around a suspension.

3.4 Security. You are responsible for keeping your login credentials secure and for all activity under your account. Use multi-factor authentication where we offer it. Tell us right away at support@caelia.io if you believe someone has accessed your account without permission.

3.5 No sharing or selling accounts. You may not sell, transfer, rent, or share your account. Each member of a team must use their own account.

#4. The Service

4.1 What Caelia does. Caelia turns a product link into a script, lets you cast a Stock Actor or Custom Actor or use your own Likeness, renders talking videos with synthetic or licensed voices, generates scenes with Third-Party Models, and lets you edit and export videos in formats sized for platforms such as TikTok, Instagram Reels, and YouTube. The Caelia iPhone app lets you create short talking videos from photos.

4.2 AI is not predictable. Outputs are generated by machine learning systems. The same Input can produce different results, and an Output may not match what you expected or asked for. Section 15 explains what this means for you.

4.3 Changes to features. We may add, change, or remove features, Third-Party Models, Stock Actors, voices, and formats. If we discontinue the Service as a whole, we will give you at least 30 days' notice by email and refund any credits you purchased and have not used.

4.4 Beta features. Features we label as beta, preview, or experimental may be incomplete, may change or end without notice, and are provided as is.

4.5 Availability. We work to keep the Service available, but we do not guarantee that it will be uninterrupted or error free. We may pause the Service for maintenance, security, or legal reasons.

#5. Credits, Purchases, and Refunds

5.1 How credits work. Rendering uses Credits. Current rates are listed at caelia.io/pricing. Before anything renders, the Studio shows you the exact number of Credits it will cost, and Credits are deducted only after you confirm. Writing scripts, creating actors, choosing voices, and using the editor do not cost Credits unless the Service tells you otherwise before you confirm.

5.2 Free credits and the watermark. New accounts receive 5 free Credits. Outputs made before your first purchase carry a visible Caelia watermark. Free Credits have no cash value, cannot be refunded, and may be removed if they were obtained through multiple accounts, fraud, or other abuse.

5.3 No subscription and no expiration. Credits are sold in one-time packs. There is no subscription and nothing renews automatically. Purchased Credits do not expire while your account remains open. One balance works on caelia.io and in the iPhone app.

5.4 What Credits are. Credits are a limited, non-transferable license to use paid features of the Service. They are not money, not a deposit, not a gift card, and not your property. They have no cash value and cannot be sold, transferred, or exchanged for cash, except for the refunds described in these Terms or required by law.

5.5 Failed renders. If a render fails to complete, the Credits charged for it are returned to your balance automatically. A render that completes but that you do not like is not a failed render, although we may return Credits at our discretion.

5.6 Website purchases. Purchases on caelia.io are processed by Stripe. By buying, you authorize us and Stripe to charge your payment method for the price shown at checkout, plus any applicable taxes. Prices are in US dollars unless the checkout page shows a different currency. We never receive your full card number.

5.7 iPhone purchases. Purchases in the iPhone app are made through Apple and are governed by Apple's terms. Refunds for those purchases are handled only by Apple, through reportaproblem.apple.com. We cannot issue refunds for Apple purchases directly.

5.8 All sales are final. Every purchase of Credits is final and non-refundable once the Credits are added to your balance, including Credits you have not used. We show this policy at checkout before you pay, and by completing a purchase you agree to it. Credits are used in this order: free Credits first, then purchased Credits from the oldest purchase forward.

5.9 What still gets refunded. Section 5.8 does not take away the following, which continue to apply:

  • Credits for a failed render are returned to your balance automatically under Section 5.5;
  • if you are charged twice for the same purchase, or charged for a purchase you did not authorize, tell us at support@caelia.io and we will refund the incorrect charge;
  • the refunds for unused purchased Credits described in Section 4.3 (if we discontinue the Service), Section 20.4 (if we close your account for a reason that is not your fault), and Section 24.3 (if you reject a material change to these Terms);
  • purchases made in the iPhone app, which are subject to Apple's refund decisions under Section 5.7; and
  • any refund or remedy the law where you live requires and does not allow a contract to exclude, including remedies for digital content that does not work as described.

5.10 Price changes. We may change the price of Credit packs and the number of Credits a type of render costs. The Studio always shows the cost before you confirm a render. If we increase the number of Credits a type of render costs, we will give you at least 30 days' notice by email first.

5.11 Chargebacks. If you think a charge is wrong, contact us first at support@caelia.io and we will work with you. If you file a chargeback for a valid charge, we may suspend your account while the dispute is resolved.

5.12 Deleting your account. If you delete your account, any Credits left in it are permanently lost and are not refunded. We show your remaining balance before you confirm deletion.

5.13 Pricing errors. If we display a price or Credit cost in error, we may correct it and cancel the affected transaction. If we cancel it, we will refund you in full.

5.14 Taxes. You are responsible for taxes that apply to your purchases, other than taxes on our income. Where the law requires us to collect tax, we will show it at checkout.

#6. Your Content and Who Owns It

6.1 You own your Inputs and Outputs. You keep all rights you have in your Inputs. As between you and us, you own the Outputs you create, subject to the rights of the performers behind Stock Actors (Section 7), the terms of Third-Party Models (Section 17), the rights of anyone whose material appears in your Inputs, and our rights in the Service itself.

6.2 Copyright in AI output. In some countries, including the United States, material generated by AI without enough human authorship may not be protected by copyright. We do not promise that you can register or enforce a copyright in any Output.

6.3 Similar output. Other users may receive scripts, scenes, voices, or actors that are similar or identical to yours. You do not receive exclusive rights in any Stock Actor, Custom Actor, voice, style, or template.

6.4 The license you give us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display to you, and reformat your Inputs and Outputs, only as needed to provide, secure, and support the Service, to moderate content and enforce these Terms, and to comply with the law. We may extend this license only to service providers who process content on our behalf. The license ends when you delete the content or your account, except for copies we must keep under the retention schedule in our Privacy Policy or by law.

6.5 No training. We do not use your Inputs, your Outputs, or the facial data derived from your photos to train, fine-tune, evaluate, or improve any AI model, ours or anyone else's, and we do not authorize anyone else to do so.

6.6 No marketing use. We will not use your Inputs or Outputs in our marketing, and we will not make them public, without your separate written permission.

6.7 Your rights to your Inputs. You confirm that you own or have every right, license, and consent needed to upload each Input and to use each resulting Output the way you use it, including the consents required by Section 9.

6.8 Keep your own copies. Download and keep copies of Outputs you want to keep. We may delete content as described in our Privacy Policy, including after 24 months of account inactivity following notice to you.

6.9 Feedback. If you send us ideas or suggestions about the Service, we may use them without any obligation to you.

#7. Stock Actors

7.1 Who Stock Actors are. Stock Actors are either based on real performers who have licensed their Likeness and voice to us under written agreements, or are synthetic characters we created. We own or license the rights in every Stock Actor. You receive a license to use Outputs that feature them, not ownership of the actor.

7.2 Your license. As long as you follow these Terms, we grant you a non-exclusive, worldwide, perpetual license to reproduce, distribute, publicly display, and publicly perform each Output that features a Stock Actor, in the form the Service rendered it, to advertise and market the lawful products and services of you or your clients, in any medium. Ordinary edits are allowed, such as trimming, resizing, adding captions, adding disclosures, and combining the Output with other footage. You may pass this license to a client for whom you made the Output, but not to anyone else. Outputs made with free Credits must keep the Caelia watermark.

7.3 Uses that are not allowed. Unless we approve it in writing first, you may not use any Output featuring a Stock Actor:

  • in sexual or sexually suggestive content, content involving nudity, or ads for dating, escort, or adult services;
  • in political, election, government, ballot measure, or social issue advocacy content, or in religious messaging;
  • in a way that states or suggests the actor has a medical or mental health condition, disability, disease, or addiction, or has used a prescription drug, medical treatment, cosmetic procedure, or weight loss product, including any "before and after" content;
  • to advertise tobacco, vaping, or nicotine products, cannabis or CBD, firearms, ammunition, or weapons, gambling, lotteries, or sweepstakes, alcohol, payday or high-interest loans, debt relief, credit repair, cryptocurrency or other investments, multi-level marketing, or income opportunities;
  • in content that is defamatory, hateful, or demeaning toward any person or group, or that would reasonably embarrass, ridicule, or degrade the performer, or that shows the actor committing a crime;
  • with the actor's real name, or with any statement or suggestion that the actor is a real customer, employee, owner, doctor, or other expert, or that the actor personally uses, recommends, or endorses your product;
  • as a logo, trademark, mascot, or other brand identifier, or as an exclusive spokesperson; or
  • to create a copy, model, or digital replica of the actor's face or voice outside the Service, to create new performances of the actor outside the Service, or to train or improve any AI model.

7.4 No exclusivity. Other users, including your competitors, may use the same Stock Actors. We do not offer exclusive use of any Stock Actor.

7.5 Changes to the library. We may retire Stock Actors at any time. Outputs you already rendered stay licensed under Section 7.2, unless a law, a court order, or a valid legal claim requires us to ask you to stop using them. If that happens, you agree to stop using the affected Outputs within the time we tell you, which will be at least 14 days unless the law requires faster action, and we will return the Credits you spent on them.

7.6 Performers can enforce these rules. The performers behind Stock Actors are intended third-party beneficiaries of Section 7.3 and may enforce it directly against you.

#8. Custom Actors and Generated People

8.1 Custom Actors must be fictional. A Custom Actor must not be intended to look or sound like any real, identifiable person, living or dead. Do not name a real person in your description, do not upload a real person's photo as a reference for a Custom Actor, and do not ask for a lookalike or soundalike of anyone, including public figures, celebrities, influencers, or people you know.

8.2 We may block or remove. We may refuse to generate, or remove, any Custom Actor or Generated Scene that appears to depict a real person.

8.3 Coincidental resemblance. If you learn, or we tell you, that a Custom Actor or a person in a Generated Scene resembles a real person, you must stop using the affected Outputs.

8.4 Your license. You may use Outputs featuring Custom Actors on the same terms as Section 7.2. You do not receive exclusive rights in a Custom Actor, and the Service may generate similar people for other users.

8.5 Same honesty rules. Section 10 applies to Custom Actors and generated people just as it applies to Stock Actors. A Custom Actor can never be presented as a real customer, reviewer, or expert.

#9. Uploading Your Own Likeness or Anyone Else's

9.1 Whose Likeness you may upload. You may upload a photo, video, or voice recording of a real person only if it is:

  • you; or
  • a person who has given you express, written consent that specifically covers having an AI-generated version of their face and voice made with a tool like Caelia, and each way you will use it, including advertising if you will use it in an Ad.

9.2 Ads need written consent. Using a real person's Likeness in an Ad requires their prior written consent under laws such as California Civil Code section 3344 and New York Civil Rights Law sections 50 and 51. A general photo release, a social media post, or permission to take someone's picture is not enough.

9.3 Employees, models, and performers. If the person works for you or performs for you under a contract, the contract must specifically authorize digital replicas. Some laws, including California Labor Code section 927, make a contract term that allows a digital replica unenforceable unless it includes a reasonably specific description of the intended uses and the person was represented by a lawyer or a labor union. You are responsible for getting consent that is valid where you and the person are located.

9.4 People who have died. You may use the Likeness of a person who has died only with written consent from whoever controls their publicity rights, as laws such as California Civil Code section 3344.1 and New York Civil Rights Law section 50-f require.

9.5 Public figures. You may not upload the Likeness of a celebrity, politician, influencer, or other public figure unless you hold a written license from them that covers this use. You may never use any public figure's Likeness in political or election content.

9.6 Minors. You may not use the Likeness of anyone under 18 in an Ad. In personal, non-commercial videos, you may use a minor's Likeness only if you are their parent or legal guardian, and never in content that is sexual, humiliating, frightening, or harmful to them.

9.7 Proof of consent. Keep a record of each consent for as long as you use the Output and for 3 years after. If we ask, send it to us within 5 business days. If you cannot, we may remove the content and suspend your account.

9.8 Facial data. Before we process facial data from a photo, we ask for your consent in the Service. Our Privacy Policy explains how facial data is used only to make your video and is permanently deleted as soon as the video is made, and in every case within 24 hours.

9.9 When consent is withdrawn. If a Depicted Person withdraws consent, you must stop using Outputs featuring them where the law or your agreement with them requires. We may remove content at a Depicted Person's request as described in Section 13.

#10. Your Responsibilities as an Advertiser

10.1 You are the advertiser. Caelia is a tool. You decide what your Ads say, where they run, and who sees them, and you are responsible for them. We do not review your Ads before you publish them.

10.2 Truthful and substantiated claims. Every express and implied claim in your Ads must be truthful, not misleading, and backed by evidence you have before you publish, as required by Section 5 of the FTC Act, state consumer protection laws, and the consumer protection laws of other countries where your Ads run. Claims about health, safety, weight loss, disease, or dietary supplements require competent and reliable scientific evidence. Claims about earnings or financial results must be substantiated and must reflect what people typically achieve.

10.3 Script and claim checking is not legal review. Caelia's script feature compares each claim in a generated script against the page you link and shows where it came from. It does not check whether the page itself is true, substantiated, or lawful, and it is not legal advice. You must review and approve every script before you render it and every Output before you publish it.

10.4 No fake reviews or fake testimonials. The FTC's Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465) and its Endorsement Guides (16 CFR Part 255) prohibit testimonials that misrepresent who is giving them or what they experienced, including testimonials by people who do not exist. Accordingly:

  • no actor, whether a Stock Actor, a Custom Actor, or an AI-altered Likeness, may say or suggest that they personally bought, used, tried, or got results from your product;
  • you may not present any Output as a customer review, a testimonial, "real results," or content made by an actual customer or independent creator;
  • no actor may be presented as a doctor, dentist, nurse, pharmacist, scientist, lawyer, financial advisor, or other expert, including through titles, credentials, or clothing such as a lab coat or scrubs; and
  • labeling an actor as AI-generated does not make a fake testimonial lawful.

Actors may present your product as spokespeople: describing its features, showing how it works, and stating claims you can substantiate.

10.5 Disclose AI actors in every Ad. Every Ad that features a Stock Actor, a Custom Actor, or an AI-altered Likeness of a real person must clearly and conspicuously disclose that it contains an AI-generated performer, for example: "This ad features an AI-generated performer." The disclosure must appear on screen, be large and long enough to read, be in the same language as the Ad, and not be hidden in a caption, hashtag, or link. This requirement applies wherever your Ad runs. It helps you meet laws such as New York General Business Law section 396-b, which requires advertisers to disclose synthetic performers in ads, and Article 50(4) of the EU Artificial Intelligence Act, which requires disclosure of deep fakes, as well as the AI labeling policies of advertising platforms.

10.6 Platform rules. You must follow the advertising policies of every platform where your Ads run, including any requirement to use the platform's own AI-generated content label.

10.7 Paid relationships. If anyone in or connected to your Ad has a material connection to you that viewers would not expect, such as being paid, being an employee, or receiving free products, you must disclose it.

10.8 Regulated industries. You are solely responsible for following the laws that apply to your industry and products, including rules for foods, drugs, cosmetics, dietary supplements, medical devices, alcohol, financial products, real estate, housing, employment, credit, and legal services. You may not direct any Ad to children under 13.

10.9 Product links. Submit only links to pages for products you own or are authorized to advertise. Do not use the link reader to copy a competitor's content or to collect content from any site in violation of that site's terms. We read only the page you submit.

10.10 Keep records. Keep your substantiation, consents, and disclosure records for each Ad, and give them to us within 5 business days if we ask in connection with a complaint, a legal claim, or a request from a regulator.

#11. Acceptable Use Policy

11.1 Prohibited content. You may not use the Service to create, upload, or distribute:

  • Sexual content: nudity, sexual or sexually suggestive content, or any content that depicts a real person in an intimate or sexual way, including "undressing" or "nudify" content;
  • Child sexual exploitation: any content that sexualizes a minor. We report apparent child sexual abuse material to the National Center for Missing and Exploited Children as 18 U.S.C. section 2258A requires, preserve it as the law requires, and permanently ban the account;
  • Deepfakes and impersonation: content that depicts a real person saying or doing something they did not say or do without their written consent, content that impersonates any person, business, government agency, or organization, fake news footage, or fabricated evidence;
  • Political and election content: ads or other content for or against a candidate, political party, ballot measure, or government action, content about how, when, or where to vote, or content that discourages voting;
  • Fraud and scams: phishing, fake giveaways, investment or crypto schemes, fake celebrity endorsements, counterfeit goods, fake charities, bait-and-switch offers, hidden subscription traps, or false claims of scarcity or urgency;
  • Illegal or dangerous products: illegal drugs, prescription drugs offered without a valid prescription, unapproved drugs, weapons, explosives, unlawful gambling, or anything illegal where the Ad is shown;
  • Hate, harassment, and violence: content that attacks people based on race, ethnicity, national origin, religion, caste, sex, gender identity, sexual orientation, disability, or serious disease, threats, harassment, bullying, glorification of violence, self-harm, or terrorism;
  • Defamation and privacy violations: false statements that harm someone's reputation, or content that exposes someone's private information;
  • Infringement: music, footage, logos, characters, or other material you do not have the rights to use, or another company's trademarks used in a misleading way;
  • Unlawful discrimination: housing, employment, or credit ads that discriminate in violation of the law; or
  • Harmful health content: health claims that are false or dangerous, or that discourage people from seeking medical care.

11.2 Prohibited conduct. You may not:

  • bypass or try to bypass our content filters, safety systems, Credit system, usage limits, watermarks, or provenance markings;
  • reverse engineer, decompile, or extract the source code, models, prompts, or weights behind the Service, except where the law expressly allows it;
  • use the Service or its Outputs to train or build an AI model that competes with the Service, or in a way that violates the terms of a Third-Party Model;
  • access the Service with bots, scrapers, or other automated means, except through tools we provide for that purpose;
  • probe, scan, or test the security of the Service without our written permission. If you find a security issue, report it to support@caelia.io with "Security" in the subject line;
  • use stolen payment details, create accounts to collect free Credits, or commit any other payment fraud;
  • resell, sublicense, or provide access to the Service itself to others, although agencies may make Outputs for their clients under Section 1.4; or
  • violate any law, including privacy, consumer protection, advertising, intellectual property, and sanctions laws.

#12. How We Moderate Content

12.1 Our tools. We use automated systems to check Inputs, scripts, and Outputs for content that breaks these Terms, both before and after generation, and people on our team review reports, appeals, and content our systems flag. Our employees and contractors do not browse your content. Access is limited as described in our Privacy Policy.

12.2 What we may do. If we believe content or conduct breaks these Terms or the law, we may block a generation, remove or disable content, limit features, suspend or close your account, remove Credits obtained through fraud, and report the matter to the authorities where the law requires or allows.

12.3 We explain our decisions. When we restrict your content or account, we tell you what we did, why, which rule or law it was based on, whether automated systems were involved, and how to appeal. We do not give this explanation where the law prohibits it, where it would put someone at risk, or where the content is high-volume deceptive commercial content.

12.4 Appeals. You can appeal any moderation decision within 6 months by emailing safety@caelia.io with "Appeal" in the subject line. A person, not an automated system, will review your appeal and tell you the outcome without undue delay. If we got it wrong, we will reverse the decision. You also keep any other remedies the law gives you, including going to court.

12.5 Repeat and serious violations. We close accounts that repeatedly break these Terms. We close accounts immediately, without a prior warning, for child sexual exploitation, intimate imagery made without consent, fraud, or any other violation that puts people at serious risk.

#13. Reporting Content, Likeness Misuse, and Intimate Images

13.1 Anyone can report. You do not need an account to report content. Email safety@caelia.io and include a link, screenshot, or other description that lets us find the content, an explanation of the problem, your relationship to any Depicted Person, and how to contact you. We confirm receipt, review the report, may ask the uploader to show proof of consent, and remove the content where appropriate or where the law requires.

13.2 Intimate images shared without consent. Under the federal TAKE IT DOWN Act, a person shown in an intimate image or video, including an AI-generated one, that was created or shared without their consent, or someone authorized to act for them, can ask us to remove it. Email safety@caelia.io with the subject line "Intimate Image Removal Request" and include:

  • your physical or electronic signature;
  • information that lets us identify and find the image or video;
  • a brief statement that you believe in good faith the image or video was not consensual, with any information that supports it; and
  • how we can contact you.

We give every request a reference number. We remove the content as soon as possible, and no later than 48 hours after we receive a valid request, and we make reasonable efforts to find and remove known identical copies.

13.3 Notices of illegal content. To report content you believe is illegal, including under the EU Digital Services Act, email safety@caelia.io with an explanation of why you believe it is illegal, the exact location of the content, your name and email address (not required for reports of child sexual abuse material), and a statement that you believe in good faith that your notice is accurate and complete. We confirm receipt, decide promptly and objectively, and tell you our decision and how you can seek redress.

13.4 Misuse of reporting. We may stop processing reports from anyone who frequently submits reports that are clearly unfounded, after warning them.

14.1 Notices. We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act, 17 U.S.C. section 512. Send your notice to our designated agent below. It must include:

  • your physical or electronic signature;
  • identification of the copyrighted work you claim is infringed;
  • identification of the material you claim is infringing, with enough information for us to find it;
  • your address, telephone number, and email address;
  • a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
  • a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act for the owner.

14.2 Counter-notices. If your content was removed and you believe that was a mistake or misidentification, you may send a counter-notice to our designated agent that includes your physical or electronic signature, identification of the removed material and where it appeared, a statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification, your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, any judicial district in which we may be found) and will accept service of process from the person who sent the original notice. Unless the complaining party tells us it has filed a lawsuit, we will restore the material within 10 to 14 business days after receiving a valid counter-notice.

14.3 Repeat infringers. We terminate, in appropriate circumstances, the accounts of users who repeatedly infringe.

14.4 False claims. Under 17 U.S.C. section 512(f), anyone who knowingly makes a material misrepresentation in a notice or counter-notice may be liable for damages.

14.5 Designated agent. Copyright Agent, SLTR Digital LLC, 696 S New Hampshire Ave, Apt 2811, Los Angeles, CA 90005, United States. Email: legal@caelia.io.

#15. AI Output, Accuracy, and Review

15.1 Outputs can be wrong. Outputs may be inaccurate, incomplete, or offensive, and may resemble existing content. Voices, lip sync, pronunciation, and translations may be imperfect. Generated Scenes may contain visual errors, text, logos, or people who look real. Review every Output carefully before you use or publish it.

15.2 Not professional advice. Scripts and other Outputs are not legal, medical, financial, or other professional advice.

15.3 No performance promises. We do not promise that an Output will be approved by an advertising platform, will reach any audience, or will produce any sales, leads, or other results.

#16. AI Labels, Watermarks, and Provenance

16.1 Visible watermark. Outputs made before your first purchase carry a visible Caelia watermark. You may not remove, crop, blur, or cover it.

16.2 Provenance markings. Outputs may carry visible labels, invisible watermarks, and embedded metadata identifying them as AI-generated by Caelia, as laws such as Article 50(2) of the EU Artificial Intelligence Act require. These markings identify the content as synthetic and do not include your name or contact details. You may not remove, alter, strip, or circumvent them, or try to make an Output appear not to be AI-generated. Ordinary processing by the platforms where you post, such as compression, is not a violation of this section.

16.3 Labeling tools. Where the Service offers a built-in AI disclosure label, using it helps you meet Section 10.5. You remain responsible for making sure the disclosure is clear and conspicuous in the final Ad.

#17. Third-Party Models and Services

17.1 Third-Party Models. Some features use Third-Party Models, including Veo from Google, Kling from Kuaishou, and Seedance from ByteDance. When you use one, your prompt and any reference material are sent to the company that provides or hosts the model, so it can generate the Output. Those companies' use policies also apply to your use, and Outputs that violate them may be blocked.

17.2 No control. We do not control Third-Party Models. We may add, replace, or remove them at any time, and we are not responsible for their availability or behavior.

17.3 Other services. The Service works with other services, including Apple, Stripe, and the advertising platforms where you post. Your use of those services is governed by their own terms and privacy policies. Links to third-party sites are provided for convenience, and we are not responsible for their content.

#18. Caelia's Intellectual Property

18.1 Our rights. We and our licensors own the Service, including its software, models we develop, the Stock Actor library, templates, designs, and the Caelia name and logo. Except for the rights these Terms expressly give you, we keep all rights.

18.2 Your license to use the Service. As long as you follow these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

18.3 Our brand. You may not use our name, logos, or trademarks without our written permission, except to state accurately that an Output was "Made with Caelia."

#19. Privacy

19.1 Our Privacy Policy. Our Privacy Policy at caelia.io/privacy explains how we collect, use, and protect personal information, including facial data, and forms part of these Terms.

19.2 Other people's information. When you upload information about other people, including their Likeness, you are responsible for having a lawful basis to do so and for giving them any notice the law requires.

#20. Suspension and Termination

20.1 You can leave at any time. You can stop using the Service at any time and delete your account in Settings.

20.2 When we may suspend or close your account. We may suspend or close your account if you break these Terms, if your use creates legal risk or harm to others, for fraud or abusive chargebacks, or if the law requires it. We will tell you why and how to appeal under Section 12, unless the law prohibits it or doing so would put someone at risk. For serious violations described in Section 12.5, we may act immediately.

20.3 What happens to your Outputs. Your licenses under Sections 7.2 and 8.4 continue for Outputs you rendered before your account closed, unless your account was closed for breaking Section 7, 8, 9, 10, 11, or 16, in which case your licenses to the Outputs involved in the violation end.

20.4 What happens to your Credits. If we close your account for a reason that is not your fault, including discontinuing the Service, we refund the Credits you purchased and have not used. If we close it because you broke these Terms, unused Credits are forfeited to the extent the law allows.

20.5 Survival. Sections 5.4, 6, 7.3, 7.6, 9.7, 10, 14.4, and 18 through 31 continue to apply after your account closes.

#21. Disclaimers

TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT ANY OUTPUT WILL BE ACCURATE, LAWFUL TO USE FOR YOUR PURPOSE, APPROVED BY ANY PLATFORM, OR EFFECTIVE.

Some jurisdictions do not allow these disclaimers. Nothing in these Terms limits rights you have as a Consumer that cannot be waived under the law where you live.

#22. Limitation of Liability

TO THE FULLEST EXTENT THE LAW ALLOWS, SLTR DIGITAL AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, ADVERTISING SPEND, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND 100 US DOLLARS.

These limits do not apply to liability for fraud, gross negligence, or willful misconduct, for death or personal injury caused by negligence, or to any other liability that cannot be limited under the law that applies to you.

#23. Indemnification

You will defend, indemnify, and hold harmless SLTR Digital, its members, managers, employees, and contractors, and the performers behind Stock Actors, from and against all claims, losses, liabilities, damages, penalties, and costs, including reasonable attorneys' fees, arising out of your Inputs, your Ads and other uses of Outputs, your breach of these Terms, your violation of any law, or any claim by a Depicted Person, a client, a regulator, or an advertising platform related to your use of the Service. We may take over the defense of any claim at our own cost, and you will cooperate with us. If you are a Consumer, this section applies only to the extent the law where you live allows.

#24. Changes to These Terms

24.1 How we change these Terms. We may update these Terms as the Service or the law changes. We will post the updated Terms at caelia.io and update the "Last Updated" date.

24.2 Notice of material changes. If a change materially reduces your rights or increases your obligations, we will notify you by email or in the Service at least 30 days before it takes effect. Changes required by law, or that address new features or safety risks, may take effect sooner.

24.3 If you do not agree. If you do not agree to a material change, stop using the Service before it takes effect, and within that notice period you may ask us to refund the Credits you purchased and have not used. Continuing to use the Service after a change takes effect means you accept it. Changes to Section 25 are also governed by Section 25.8.

#25. Dispute Resolution and Arbitration (United States)

25.1 Who this applies to. This Section applies if you live in the United States. It does not apply to Consumers who live in the EU, EEA, UK, or Switzerland.

25.2 Try to resolve it informally first. Before starting arbitration or a court case, the party with the dispute must send a written notice to the other. Send yours to legal@caelia.io, including your name, your account email, a description of the dispute, and the relief you want. We will send ours to your account email. For 60 days after the notice is received, we will both try in good faith to resolve the dispute, including by meeting by phone or video if either of us asks. Time limits for bringing claims are paused during those 60 days.

25.3 Binding individual arbitration. If the dispute is not resolved, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules if you are a Consumer, or its Commercial Arbitration Rules otherwise, as modified by this Section. The Federal Arbitration Act governs this Section. The arbitrator decides all issues, including the scope and enforceability of this Section, except that a court decides issues about Sections 25.5, 25.6, and 25.9. The arbitration may be held by documents, phone, or video, or in person in the county where you live. Fees are paid as the AAA's rules provide. The arbitrator may award the same individual relief a court could.

25.4 Exceptions. Either of us may bring an individual claim in small claims court instead, as long as it stays there. Either of us may go to court to stop infringement or misuse of intellectual property or of a person's Likeness. Any claim for public injunctive relief will be decided by a court, after any individual claims are arbitrated, and that court case will be paused until the arbitration ends.

25.5 No class actions and no jury. You and we each may bring claims only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. You and we each waive the right to a jury trial.

25.6 Mass arbitration. If 25 or more similar demands for arbitration are filed against us or by us by or with the help of the same or coordinated counsel, the AAA's Mass Arbitration Supplementary Rules apply.

25.7 Opting out. You may opt out of this arbitration agreement by emailing legal@caelia.io within 30 days after you first accept these Terms, with the subject line "Arbitration Opt-Out," your name, your account email, and a clear statement that you are opting out. If you opt out, Section 26 governs disputes, and the rest of these Terms still apply.

25.8 Changes to this Section. If we make a material change to this Section, it will not apply to a dispute you notified us of before the change. You may reject the change by emailing legal@caelia.io within 30 days after it takes effect, in which case the previous version of this Section continues to apply to you.

25.9 If part of this Section fails. If the class action waiver in Section 25.5 is found unenforceable for any claim, that claim must be decided by a court and not in arbitration, and in no case will it proceed as a class arbitration. If any other part of this Section is found unenforceable, the rest of it still applies.

#26. Governing Law and Courts

26.1 Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules, and by the Federal Arbitration Act for Section 25.

26.2 Courts. Any claim not subject to arbitration will be brought only in the state or federal courts located in Los Angeles County, California, and you and we consent to their jurisdiction.

26.3 Consumers outside the United States. If you are a Consumer outside the United States, you also keep the protection of the mandatory laws of the country where you live, and you may bring claims in the courts of that country where its law allows.

#27. Additional Terms for the EU, EEA, UK, and Switzerland

27.1 Your statutory rights come first. If you are a Consumer in the EU, EEA, UK, or Switzerland, nothing in these Terms limits rights the law gives you that cannot be waived by contract. Where this Section conflicts with the rest of these Terms, this Section controls.

27.2 No right of withdrawal once Credits are delivered. Credits are digital content that we add to your balance immediately after you pay. Before you pay, checkout asks you to expressly request that we add your Credits right away, during the 14-day withdrawal period, and to acknowledge that you lose your right of withdrawal as soon as they are added. We then send you an email confirming your request and acknowledgement. Once your Credits are added to your balance, your right of withdrawal for that purchase ends, including for Credits you have not used yet, as Article 16(m) of Directive 2011/83/EU and regulation 37 of the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 allow.

27.3 If those steps did not happen. If, for a particular purchase, you did not give that request and acknowledgement or we did not send the confirmation email, you keep the right to withdraw from that purchase within 14 days without giving a reason, and the law protects you from paying for Credits used during that period. To withdraw, email support@caelia.io, or send any other clear statement of your decision to SLTR Digital LLC, 696 S New Hampshire Ave, Apt 2811, Los Angeles, CA 90005, United States. You may use the model form below, but you do not have to. We will confirm receipt and refund you within 14 days, using the same payment method you used, at no cost to you. Purchases made through Apple are handled by Apple.

27.4 Conformity of digital content. We are responsible under the law for any lack of conformity of the Service and the digital content we supply, including under Directive (EU) 2019/770 and the UK Consumer Rights Act 2015, and the disclaimers in Section 21 do not limit those rights.

27.5 Liability. Section 22 does not limit our liability for intent or gross negligence, for death or personal injury, or for any other liability that cannot be limited under the law of the country where you live.

27.6 Digital Services Act contact points. Authorities in the EU may contact us at legal@caelia.io. Users may contact us at safety@caelia.io. We communicate in English. Where we are required to designate a legal representative in the European Union under Article 13 of the Digital Services Act or Article 27 of the GDPR, we will publish their name and contact details in this Section.

27.7 Disputes. Section 25 does not apply to you. You may bring proceedings in the courts of the country where you live.

#28. Additional Terms for California Residents

28.1 Consumer complaints. Under California Civil Code section 1789.3, California users are entitled to the following notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

28.2 Pricing and contact. The Service is provided by SLTR Digital LLC, 696 S New Hampshire Ave, Apt 2811, Los Angeles, CA 90005. Current prices are at caelia.io/pricing. Questions and complaints can be sent to support@caelia.io.

#29. Apple App Store Terms

If you downloaded the Caelia app from the Apple App Store, the following also applies:

  • These Terms are between you and SLTR Digital only, not Apple. SLTR Digital, not Apple, is solely responsible for the app and its content.
  • Your license to use the app is limited to Apple-branded products that you own or control, as permitted by the Usage Rules in Apple's Media Services Terms and Conditions.
  • Apple has no obligation to provide any maintenance or support for the app.
  • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app, if any. To the maximum extent the law allows, Apple has no other warranty obligation for the app.
  • SLTR Digital, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to meet any legal or regulatory requirement, and claims under consumer protection, privacy, or similar laws.
  • If a third party claims that the app or your possession and use of it infringes that party's intellectual property rights, SLTR Digital, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
  • You confirm that you are not located in a country subject to a US Government embargo or designated by the US Government as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.
  • You must comply with applicable third-party terms when using the app, such as your wireless data service agreement.
  • Questions, complaints, or claims about the app go to SLTR Digital at support@caelia.io or 696 S New Hampshire Ave, Apt 2811, Los Angeles, CA 90005, United States.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms, and once you accept them, Apple has the right to enforce these Terms against you as a third-party beneficiary.

#30. Export Controls and Sanctions

You may not use the Service if you are located in, or ordinarily resident in, a country or region subject to comprehensive US sanctions, or if you are on, or owned or controlled by anyone on, a US Government list of prohibited or restricted parties, including the Specially Designated Nationals and Blocked Persons List. You may not use the Service in violation of US export control or sanctions laws.

#31. General Terms

31.1 Entire agreement. These Terms, the Privacy Policy, and any feature-specific rules we show you in the Service are the entire agreement between you and us about the Service.

31.2 Assignment. You may not assign or transfer these Terms without our written consent. We may assign them, with notice to you, to an affiliate or to a successor in a merger, acquisition, reorganization, or sale of assets, including an entity formed to operate Caelia, as long as that entity remains bound by them.

31.3 Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a provision, that is not a waiver of our right to enforce it later.

31.4 Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages at our providers, natural disasters, war, or changes in law.

31.5 Notices and electronic communications. You agree that we may send you notices, agreements, and disclosures electronically, including by email to your account address and in the Service, and that they satisfy any legal requirement that they be in writing. Send legal notices to us at legal@caelia.io and by mail to the address in Section 32.

31.6 Relationship. You and we are independent parties. These Terms do not create a partnership, agency, employment, or joint venture.

31.7 Third-party beneficiaries. Other than Apple under Section 29 and the performers behind Stock Actors under Section 7.6, no one else has rights under these Terms.

31.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." If we provide a translation of these Terms, the English version controls to the extent the law allows.
